Distribution policy
Dividend distribution is proposed by the Board of Directors and resolved by the General Shareholders Meeting on the basis of the audited annual financial statements. Distributions are subject to applicable Romanian company-law minimum-reserve and legal-reserve thresholds, the AeRO Premium tier obligations of the Bucharest Stock Exchange, and any constraints disclosed in the Articles of Incorporation.

Material Information
Material non-public information is disclosed simultaneously and equally via BVB current reports under the periodic and ongoing reporting obligations of the AeRO Premium tier. No selective disclosure of material non-public information is permitted to analysts, investors, or media in advance of the BVB filing.
Insider List
Ascendia maintains an insider list and project insider lists in line with the EU Market Abuse Regulation (Regulation EU 596/2014) and the relevant ESMA implementing technical standards. Inclusion is recorded on a need-to-know basis; insiders are notified in writing of their obligations and of the prohibition on dealing in Ascendia securities or in financial instruments referencing them on the basis of inside information.
Closed Period
Closed periods apply for the thirty calendar days before the announcement of an interim financial report or a year-end report, in accordance with MAR Article 19(11). Persons discharging managerial responsibilities and persons closely associated with them are prohibited from conducting transactions on their own account or for the account of a third party during the closed period, save for narrowly defined exceptions under MAR Article 19(12).
